Terms of Use and Hotel Regulations

Hotel H7 TLV (the “Hotel”) welcomes your decision to browse the internet website operated at: hotelh7.co.il (the “Website”).
 The Website was established for the purpose of providing customers and users of the Website with a convenient and secure platform for booking and purchasing accommodation and vacation packages at the Hotel (the “Services”).
 In addition, the Website provides information about the Hotel, the accommodation options and other services offered by the Hotel.

Our privacy policy, which is published at [insert link to the privacy policy page on the Hotel’s website], regulates the manner in which personal information (as defined in the privacy policy) is collected, processed and transferred by us (hereinafter: the “Privacy Policy”).
 Please note that we publish an additional privacy policy in connection with the use of the “Simple Booking” platform through which reservations are made.

1. Use of the Website

1.1
 These Terms and Conditions of Use constitute a binding agreement between you, whether individually or on behalf of a corporation (“you”), and the Hotel, regarding browsing and use of the Website on any computer or other communication device such as a mobile phone, tablet computers, etc.
 They also apply to the use of the Website whether via the internet or via any other network or means of communication, including access to the Website by telephone, application or any other means.
 Please read these Terms and Conditions of Use carefully, as browsing the Website and performing actions on it indicate your consent to the terms contained in these Terms and Conditions of Use (the “Terms”).
 If you do not agree to all the provisions of the Terms, you are not permitted to access or use the Website or the Services.

1.2
 In the event of any contradiction between these Terms and any translation into another language, the Hebrew version shall prevail for any legal matter or question of interpretation or otherwise.

1.3
 The Hotel reserves the right to change the Terms from time to time, at its sole discretion and without prior notice.
 We will update regarding changes to the Terms by updating the “Last Updated” date in the Terms, and you hereby waive any right to receive specific notice of such changes.
 Your continued use of the Website or the Services after the date on which the amended Terms enter into effect shall constitute your consent to the amended Terms.
 If you do not agree to the amended Terms, you must cease using the Website.

 Purchasing and use of the Website are intended only for persons with legal capacity who are at least 18 years old.

 The provisions of these Terms apply equally to both genders, and the use of masculine and/or feminine gender is for convenience only.

2. Intellectual Property

2.1
 Unless expressly stated otherwise, all copyrights and intellectual property rights in the Website, including designs, images, databases, software, code, audio, video, text (the “Content”) as well as icons, trademarks, etc. (the “Marks”) are owned solely by the Hotel or by a third party that has permitted the Hotel or granted the Hotel a license to lawfully use such Content or Marks, including the Hotel’s business partners.

 The Content and the Marks are provided “AS IS” for personal use only.
 Unless expressly stated otherwise, you may not copy, distribute, publicly display, publicly perform, transmit to the public, modify, process, create derivative works from, sell or rent any part of the foregoing, whether directly or through or in cooperation with a third party, in any manner or by any means, whether electronic, mechanical, optical, photographic, recording or by any other means or method, without obtaining the Hotel’s prior written consent or the consent of the other rights holders, as applicable, and subject to the terms of such consent (if given).

2.3
 Provided that you are entitled to browse the Website, the Hotel grants you a limited license to use it and to download or print a copy of any part of the Content to which proper access has been granted, for your personal, non‑commercial use only.

3. User Representations

3.1
 When browsing the Website and/or registering for the Hotel’s newsletter and/or for the H7 TLV Hotel members’ club, you hereby represent and warrant that:

  1. Your browsing of the Website and use of the Services are at your sole responsibility.
  2. The details you entered when leaving your details and when making a purchase on the Website are true, current, accurate and complete.
  3. If necessary, in case of a change of details, you will update them by contacting the Hotel.
  4. You have legal capacity and you agree to the Terms.
  5. You will not use the Website by automated or non‑human means, whether by BOT, script or any other method, and you will not collect data by such means.
  6. You will not make any unlawful use of the Website.
  7. Your use of the Website will not violate any applicable law or regulation.

3.2
 The Hotel may prevent any user from using the Website at its absolute discretion.
 Without derogating from the foregoing, the Hotel may block such person’s access to the Website, in whole or in part, if when entering details on the Website, details that are false, not current or incomplete were intentionally provided.

4. Prohibited Activity on the Website

4.1
 You may use the Website only for the purposes for which it is intended.
 Use of the Website is permitted for private and personal purposes only and not for commercial purposes, except for such purposes as may be specifically approved by the Hotel in writing.
 In the event of commercial use of the Website, the Hotel will be entitled to take legal action against the user.

4.2
 The Hotel may prevent users from making a reservation on the Website and/or cancel a reservation made on the Website in the event of improper conduct and/or commercial use of the Website and/or unreasonable use of the Website and/or non‑compliance with these Terms and the Website policies and/or for any other reason, at the Hotel’s sole discretion.

4.3
 As a user of the Website, you agree that you will not:

 Retrieve data or other content from the Website to create or compile a collection, database or directory without the Hotel’s prior written consent.

4.3.2
 Make any use of the Website’s designs.

4.3.3
 Make unauthorized use of the Website, including collecting email addresses, other content, etc., by electronic or other means for the purpose of sending email by automated means.

4.3.4
 Bypass, disable or otherwise interfere with the Website’s security features, including using applications that prevent or limit the use or copying of any Content.

4.3.5
 Defraud or mislead the Hotel and/or its users.

4.3.6
 Misuse the Website’s support services or submit false reports regarding use of the Website.

 Make automated use of the system, such as using scripts to send comments or messages, or using data mining, robots or similar data gathering and extraction tools.

 Attempt to impersonate another person.

4.3.9
 Use information obtained from the Website in order to harass, abuse or harm another person.

 Use the Website as part of any effort to compete with the Website.

 Retrieve, decipher or reverse‑engineer any part of the Website, any feature on the Website or any application on the Website.

 Harass, intimidate or threaten any of the Website’s or Hotel’s employees or agents.

 Remove any copyright notice or proprietary rights notice from any Content or Mark.

4.3.14
 Copy or adapt the Website’s code or any part thereof, including but not limited to Flash, PHP, HTML, JavaScript or other code.

4.3.15
 Upload or transmit (or attempt to upload or transmit) viruses, Trojan horses, or other material, including using spam, that will interfere with the use of the Website.

4.3.16
 Perform any action that will damage or harm the Website, at the Hotel’s discretion.

4.3.17
 Use the Website in any manner that does not comply with applicable law, regulations and case law.

4.4
 Any use of the Website in violation of the foregoing may result, inter alia, in termination or suspension of your rights to use the Website.

5. Third Party Content

5.1
 The Website may contain links to other websites (“Third‑Party Websites”) and also articles, images, text, graphics, pictures, designs, music, sound, video, information, applications, software and other content or items belonging to or originating from Third‑Party Websites (“Third‑Party Content”).
 Third‑Party Websites and Third‑Party Content, except for the Simple Booking reservation engine platform, are not investigated, monitored or checked by the Hotel, and the Hotel is not responsible for any Third‑Party Content posted through the Website, accessed through the Website, available through the Website or installed on it, including the content, opinions, reliability, privacy practices or other policies of or included in Third‑Party Websites or Third‑Party Content.
 Use of or permission to use or install Third‑Party Websites or any Third‑Party Content does not imply approval or endorsement thereof by us.

5.2
 The Hotel assumes no responsibility for any purchase you make from Third‑Party Websites or from other companies, which will be made and will be valid exclusively between you and the relevant third party, except for purchases made through the Simple Booking reservation engine platform, as stated in Section 5.1 above.

6. Management of the Website

6.1
 We reserve the right to:

  1. Monitor violations of these Terms.
  2. Take legal action against anyone who violates the provisions of law or these Terms, at the Hotel’s sole discretion, including, without limitation, reporting such user to law enforcement authorities.
  3. Refuse, restrict access to, limit availability of, or disable (to the extent technologically feasible) any of your contributions to the Website or any part thereof, at the Hotel’s sole discretion and without limitation.
  4. Manage the Website in a manner that will protect its rights and property and facilitate its proper functioning.

7. User Content and Infringement of Copyright

7.1
 The Services may allow you to add or submit certain content and/or data, such as reviews (hereinafter: “User Content”).
 The Hotel may collect User Content from other websites.

7.2
 You are solely responsible for any User Content that you send and/or upload in connection with the Website and/or the Services.
 You represent and warrant that the User Content complies with all applicable law, that you hold all the rights required to upload or send the User Content to the Services, and that the User Content does not infringe (and will not lead to an infringement of) any intellectual property right, moral right, right of publicity or right to privacy of any third party.
 We do not undertake to accept, display, review or maintain any User Content.
 Furthermore, we reserve the right to remove and permanently delete any content, including User Content, without prior notice, for any reason and at any time.
 We do not endorse any content, opinion or recommendation expressed in any content and/or by any user, and expressly disclaim any responsibility in connection with such content, including, without limitation, User Content.

7.3
 We may, at our sole discretion, choose to monitor User Content in order to detect improper or illegal behavior, including by automated means; however, the Company is not obligated to monitor User Content or how users use the Services.
 The Company may do so, and may also remove User Content and/or restrict the use of the Services if, in its opinion, such use or such User Content violates any of the user’s obligations under these Terms.

7.4
 User Content that you enter, send, publish and/or upload when using the Services is your exclusive property, and all intellectual property rights in your User Content belong to you.
 By entering, sending, publishing or uploading any User Content in connection with the Services, you grant the Company, its successors and assigns a perpetual, worldwide, non‑exclusive, royalty‑free, transferable license to use, copy, distribute, transmit, modify and create derivative works of such User Content for the purpose of providing the Services and improving the Company’s services, including commercial use.
 Without derogating from the foregoing, you are aware that any User Content you choose to publish on the Website will be exposed to Website visitors and/or other users.

7.5
 We respect the property rights of others.
 If you believe that information or content, including User Content on the Website, infringes property rights belonging to you, please contact us using the contact details at the end of these Terms.

8. Changes to the Website, Malfunctions and Service Interruptions

8.1
 The Hotel reserves the right to periodically change or remove the Website Content (including User Content) and/or to change or remove Services, for any reason, at its sole discretion and without prior notice.
 The Hotel is not obligated to update any information or content on the Website.

8.2
 The Hotel will not be liable to you or to any third party for any modification, suspension or discontinuation of any Service.

8.3
 The Hotel does not undertake that the Website and/or the Services will not be interrupted, will be provided regularly or without breaks, will be secure and error‑free, or will be protected from unauthorized access to the Hotel’s computers or from damage, malfunctions, failures or defects – whether in hardware, software, communication lines or systems at the Hotel or any of its suppliers.

9. Booking and Purchasing on the Website

9.1
 Placing a booking and making a purchase shall be performed via the reservation system on the Website.
 Through this system you may book accommodation units, enter desired dates and the required booking details.

9.2
 Prices, availability of Services and other purchase conditions may change from time to time.
 The Hotel reserves the right to change the range of Services or discontinue them, or change the prices of the Services offered on the Website and outside it, without prior notice.

9.3
 Commercial bookings will not be permitted on the Website.
 For commercial reservations, please contact the Hotel using the contact details provided at the end of these Terms.

9.4
 When ordering a Service on the Website, the purchaser is responsible for providing correct, accurate, current and complete information.
 Entering false purchase details is strictly prohibited.
 The Hotel may verify the details entered after the booking has been made, and may cancel or restrict the booking at any time if it is found that the details provided are incorrect.
 If payment has been made for a booking that has been cancelled, the Hotel will refund the amount paid to the same means of payment, subject to the Hotel’s cancellation policy.

9.5
 If, for any reason, the credit card company refuses to transfer the payment amount for a booking you made, the Hotel may suspend or immediately discontinue the provision of the Service and may demand payment, plus any costs incurred by the Hotel due to such refusal (including fines imposed by a third party), by other means, at the Hotel’s discretion.
 If the Hotel is required to take legal action to collect outstanding amounts, the purchaser undertakes to indemnify the Hotel for all expenses incurred, including attorneys’ fees and additional legal expenses.

9.6
 Purchasing Services on the Website is subject to additional terms and restrictions that will be specified on the Website.

9.7
 Within the framework of a purchase on the Website, several notices will be sent to the customer, such as booking confirmation, invoice for purchase (if made), information about the booking and more.
 The Hotel reserves the right to send such notices through any means of communication, such as email or SMS to a mobile phone.

9.8
 A booking will be deemed confirmed only after receiving a booking confirmation from the Hotel, including the confirmation number and booking details.

9.9
 The Hotel may, unilaterally, decide not to approve a booking placed and/or approved on the Website, or to cancel a booking placed and automatically approved on the Website, at its discretion and judgment, in cases where an error occurred in the booking, including an error in the transaction price, technical error, error in the publication of the Service, error in policy or any other human error.
 The cancellation will be made within 72 hours of the time the booking was made.

9.10
 If the Hotel cancels a transaction as described in Section 9.9 above, the Hotel will not charge the customer for the transaction amount and will contact the customer in order to complete the transaction properly.

9.11
 Entering credit card details when making the booking is for deposit purposes only, unless otherwise indicated and/or required on the Website at the time of booking or by the Hotel.

9.12
 Unless otherwise indicated or required as stated, payment for the booking will be made at the Hotel upon arrival, or in accordance with the cancellation policy applicable to the booking.

9.13
 Without derogating from the foregoing, it is clarified that after providing the credit card details the Hotel may perform a validity check of the credit card with the relevant credit card company.
 Within the framework of this check, an amount of 5 NIS may be held on the card’s credit limit for the sole purpose of verifying the validity of the credit card, without an actual charge.
 The held amount will be released automatically in accordance with the credit card company’s policy and no later than 30 days after the date of completion of the check.

9.14
 Cash payment, subject to the Hotel’s approval, will be made in accordance with applicable law, including the provisions of the Law for the Reduction in the Use of Cash, 2018.

10. Policy for Change and Cancellation of Bookings

10.1
 A request to change or cancel a transaction shall be submitted to the Hotel by one of the contact methods specified at the end of these Terms or via the personal area.

10.2
 Cancellation of an accommodation services booking and receipt of a monetary refund will be permitted within 14 days from execution of the transaction or from the date of receipt of the transaction details (whichever is later), provided that more than 7 days that are not rest days remain prior to the accommodation date.
 In a distance‑selling transaction made by a person with a disability, a senior citizen or a new immigrant, as defined in the Consumer Protection Law, where the transaction included a conversation between you and the Hotel (including a conversation via electronic communication), you may cancel the transaction within four (4) months from the date of the transaction or from the date of receiving the document containing the principal terms of the transaction, whichever is later, as long as the cancellation is made prior to provision of the Service.

10.3
 In the case of cancellation as stated in Section 10.2 above, the customer will be charged a cancellation fee of 100 NIS or 5% of the booking value, whichever is lower.

10.4
 Cancellation in accordance with the cancellation policy chosen during the booking.
 Such policy is the Hotel’s basic policy.
 Specific and/or additional terms may apply in connection with various promotions offered by the Hotel.
 Such specific terms will appear during the booking process and in the booking confirmation, and they will apply to the relevant booking.

10.5
 No monetary refund will be given in the event of a booking from a price list that includes immediate, full or partial payment, where cancellation is made more than 14 days after the booking date or the date of receipt of the document containing the transaction details (whichever is later) and the cancellation date is not at least 7 non‑rest days prior to the accommodation date, or in the event of a no‑show at the accommodation premises without prior notice.

10.6
 Cancellation and refund will be approved after the customer receives notice from the Hotel confirming this.

10.7
 Any refund will be made via the same means of payment used by the customer for the purchase.

10.8
 The foregoing is subject to the provisions regarding cancellation of a transaction under the Consumer Protection Law, 1981.

11. Hotel’s Liability

11.1
 The Content on the Website is provided on an “AS IS” basis and cannot be tailored to the needs of every individual.
 The Website user agrees that he or she shall have no claim, demand or cause of action against the Hotel for features of the Content, its capabilities, limitations and/or suitability to the user’s needs, and use of the Website will be at the user’s sole responsibility.

11.2
 The Website user agrees that use of the Website shall be at his or her sole and full responsibility.
 The Hotel does not undertake that the Content and Services published on the Website will be complete, correct or accurate or will meet each user’s expectations and requirements.
 The Hotel shall not be liable for any result arising from them, or from their use, or from reliance on them, including:
 (1) Errors, mistakes and inaccuracies.
 (2) Bodily or property damage of any kind arising from the use of the Website and/or purchase on the Website.
 (3) Interruption of access to or from the Website.
 (4) Any bug, virus, Trojan horses, etc. that may be transmitted to the Website by any third party.

11.3
 No information appearing on the Website shall be deemed as a promise of any result and/or liability for the manner in which the Services sold there operate.
 The Hotel shall not be liable for any damage, direct or indirect, caused to a user as a result of reliance on information appearing on the Website (including any Content and/or User Content) and/or on links to other websites and/or any other internal and/or external source of information and/or use of the Services presented by it.

11.4
 Images on the Website are displayed for illustration purposes only.
 Differences may exist in appearance, color, size, etc., between what is displayed on the Website and the Service provided to the customer.
 A typographical error in the description of a Service and/or its price shall not bind the Hotel.

11.5
 Information and representations regarding products and/or Services displayed on the Website which originate from the Hotel’s business partners and/or third parties whose products and/or Services appear on the Website, and all content relating to such products and/or Services, are the exclusive responsibility of such business partners and/or third parties, and therefore it is understood that the Hotel bears no responsibility for such information and does not warrant the accuracy of such information.

11.6
 Responsibility for entering the correct purchase details as well as ordering the desired Service, dates, accommodation units, meals and any other Service lies solely with the customer.
 The Hotel shall not be responsible for any errors made by the customer.

11.7
 The Hotel recommends that Website users act as prudent and cautious consumers and carefully read the information displayed on the Website, including the information regarding the Service itself, its description and suitability, as described on the Website.

11.8
 Provision of the Service will be subject to the Hotel’s sole discretion, and the Hotel shall not be liable for any delay in the provision of the Service and/or non‑provision of the Service as a result of force majeure and/or events beyond its control, including war, strike or shutdown, sabotage, public disorder, act or omission of a third party or restrictions imposed by it, laws, regulations, orders or other governmental directives, security restrictions, epidemic, lockdown or other circumstances beyond its control.

11.9
 The Hotel shall not be liable in any case where a booking and purchase are not recorded in the system and/or in the event of technical failures on the Website and/or any other problem that prevents the user from placing a booking and purchase on the Website.

12. Jurisdiction

12.1
 These Terms and the use of the Website shall be governed solely by the laws of the State of Israel, without giving effect to any conflict of law rules set forth therein.

12.2
 The courts of the Tel Aviv District shall have exclusive jurisdiction over any matter arising from and/or related to these Terms and/or any legal disputes between you and the Hotel.

13. Accuracy / Technical and Other Corrections

13.1
 The Website as a whole, including all information appearing on it, is offered to the public on an “as is” basis and will be as accurate and correct as possible; however, the information may not be complete, or technical or other errors may occur in the information.
 The Hotel reserves the right to correct such errors and/or mistakes and/or inaccuracies and to update the information on the Website at any time and without prior notice.

14. Liability and Limitation of Liability

14.1
 Subject to any applicable law, the Hotel shall not be liable for any non‑conformity, lack, misrepresentation or error in connection with the content in the Services and/or on the Website, including regarding their quality, fitness or description of the Services offered on the Website.
 Subject to any applicable law, the Hotel shall not be liable for any damage caused directly or indirectly due to use of the Website and/or the Services.
 You hereby represent and warrant that you are aware of and agree that use of the Services and the Website is at your sole responsibility.
 Use of the Website, the Services and/or the Content presented on them is provided to you “AS IS” and “AS AVAILABLE” according to the Hotel’s decision and without any warranty of any kind, including their being personally tailored to your needs.

14.2
 You shall have no claim, demand or cause of action against the Hotel in relation to these Terms and/or in connection with the Website, the Services, their capabilities, limitations or suitability to your needs.
 Subject to any applicable law, any reliance on the Content (including User Content) shall be at your sole responsibility, and the Hotel disclaims all liability, explicit or implied, regarding the accuracy, reliability, timeliness, currency, quality, completeness, usefulness, security or performance of the Website and/or the Services and/or the Content and/or User Content and/or that all information available via the Website and/or the Services and/or that the Content (including User Content) will be error‑free or that any errors, if any, will be corrected.

14.3
 Subject to any applicable law, the Hotel disclaims any warranty of any kind, explicit, implied or statutory, and does not warrant that the Website and/or the Services will be provided regularly or without interruptions, will be of a particular quality, will be secure or error‑free and/or free from disruptions, or that they will be protected from unauthorized access to the Hotel’s computers and/or software, or from damage, malfunctions, failures, including in hardware, software, communication lines and systems at the Hotel or any of its suppliers or at your location, and you will have no claim against the Hotel in this regard.
 You are aware that in the future the Website and/or the Services may not be available due to maintenance, upgrades or for any other reason.

14.4
 Third parties.
 We cannot control the services provided by third parties and are not responsible for any failure or interruption in telephone or network lines, internet congestion or congestion on the Website itself.
 We cannot control the actions of malicious actors and do not guarantee that we will be able to prevent unauthorized access or changes to the Website and/or the Services.

14.5
 Users.
 We cannot foresee or control the actions or omissions of others, including our users.
 We shall not be responsible, regardless of the form of action, for acts or omissions of any users that do not derive from our gross negligence or willful misconduct.

14.6
 Storage of information.
 We are not an information‑storage service.
 You are solely responsible for backing up any information you provide to us.
 If the information you provide to us is lost or damaged for any reason, we shall not be liable for any damage or loss incurred by you if you are unable to recover the information.

14.7
 Subject to any applicable law, in no event shall the Hotel, its directors, officers, employees, agents or shareholders be liable to you or to any third party for any loss, damage or compensation of any kind, including, without limitation, indirect, incidental, consequential, collateral, secondary, punitive or special damage or compensation (including but not limited to damage due to loss of database, loss of software, costs of procurement of substitute service, invasion of privacy or interruptions of service) arising in connection with these Terms, use of or inability to use the Website, the Services, the Content (including User Content) and/or anything related thereto, performance of a transaction, or resulting from unauthorized use of the Website or the Services, resulting from alteration of information provided by you, including damage resulting from loss of profits, use and loss of information and other intangible assets, even if the Hotel has been advised of the possibility of such damages.
 To the maximum extent permitted by law, the Hotel’s total aggregate liability under any provision of these Terms shall not exceed the amount you paid the Hotel in connection with the Services during the three (3) months preceding the relevant claim.

14.8
 Personal information may be received from you during your use of the Website and/or the Services.
 Any use made by the Hotel of personal information received during your use of the Website and/or the Services shall be subject to the provisions detailed in the Privacy Policy.
 You acknowledge that by providing such personal information, including, without limitation, contact details, you are aware of the risks involved and you release the Hotel from any liability in this regard.

14.9
 In light of the above, you understand that use of the Website and the Services involves a certain degree of risk.
 When you choose to use the Website and the Services, you do so at your sole discretion and assume the risks involved.
 Under applicable law it may not be possible to limit liability in certain areas, and some of the limitations of liability above may not apply to you.
 Check the law applicable to you regarding limitations relating to exclusion of implied warranties.

14.10
 You undertake to bear full responsibility for any direct or indirect result that occurs due to your use of the Website or the Services.
 Accordingly, you agree to indemnify and hold harmless the Hotel, its employees, directors and/or anyone acting on its behalf against any claim, allegation, demand, loss, loss of profit, payment, expense or damage, including attorneys’ fees and legal expenses (including those of a third party), directly or indirectly resulting from:
 (a) Your breach of one or more of these Terms by you or by a user of your device or your personal account;
 (b) Your use or attempt to use the Website or the Services;
 (c) Your violation of any applicable law;
 (d) Your infringement of any right (including intellectual property) of the Hotel and/or any third party;
 (e) Your breach of any of your representations and undertakings under these Terms; and
 (f) Any other matter for which you are responsible under any applicable law.

15. Termination

15.1
 These Terms shall remain in force during your use of the Website and/or the Services.
 Without derogating from any other provision of these Terms, the Hotel reserves the right to prevent any user from using the Website (including blocking certain IP addresses), for any reason or no reason (without being required to provide any reason or justification), at its sole discretion, without prior notice and without being liable for any damage resulting from its decision.
 In addition, the Hotel may terminate your use of the Website and/or the Services and any Content (including User Content) or information you have posted on the Website at any time, without prior warning.

 Neither party shall be liable for failure to perform its obligations under these Terms in the event of force majeure, wartime, war, general mobilization, epidemics, fire, floods and other natural disasters, and any other similar event beyond the reasonable control of a party to the agreement.
 The party affected by a force majeure event shall notify the other party in writing and shall minimize, as reasonably possible, the effects of the force majeure on the performance of its obligations.
 It is clarified that a force majeure event shall not exempt a party from performing its obligations to pay any amount under these Terms.
